Understanding the Techanisms LLC Affiliate Program Agreement

This Affiliate Program Agreement ("Agreement") is entered into by and between Techanisms LLC, a USA registered company ("Company"), and the individual or entity agreeing to participate as an affiliate ("Affiliate"). The purpose of this Agreement is to outline the terms and conditions for the Affiliate's participation in the Techanisms LLC Affiliate Program ("Program"), which includes promoting products such as the Income Mavericks CRM.

2. Affiliate Responsibilities

  • Promotion: Affiliate agrees to actively promote Techanisms LLC's products and services through approved marketing channels, adhering to the Company's branding guidelines.
  • Compliance: Affiliate shall comply with all applicable laws and regulations, including the Federal Trade Commission's guidelines on endorsements and testimonials.
  • Prohibited Activities: Affiliate shall not engage in misleading advertising, unauthorized use of the Company's intellectual property, or any activities that may harm the Company's reputation.

3. Commission Structure

  • Earnings: Affiliate will earn commissions based on successful referrals that result in sales of Techanisms LLC's products and services.
  • Exclusions: No commissions will be paid on sub-account usage, setup fees, or ad hoc services, except as specified in the campaign terms.
  • Campaign-Based: Commissions are determined on a per-campaign basis, as specified by the Company.

4. Payment Terms

  • Method: Payments will be made via PayPal to the account designated by the Affiliate.
  • Frequency: Payments are made on a Net-30 basis. This means commissions earned in a given month will be paid on the 30th of the following month.
  • Threshold: A minimum payout threshold of [insert amount] must be met before payment is issued.
  • Tax Forms: Affiliates are required to submit the appropriate tax forms (W-9 for U.S. affiliates; W-8 for non-U.S. affiliates) to comply with tax regulations. Payments may be withheld should the Affiliate not comply with this requirement.

5. Cookie Duration

The Program utilizes a 30-day cookie duration. This means that if a referred customer makes a purchase within 30 days of clicking the Affiliate's link, the Affiliate will be credited with the commission.

6. Term and Termination

  • Term: This Agreement becomes effective on the date the Affiliate agrees to the terms and conditions and is approved to participate in the Program.
  • Termination: Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
  • Effect of Termination: Upon termination, the Affiliate will cease all promotional activities related to the Company and will forfeit any unpaid commissions if found in violation of this Agreement.

7. Prohibition on Self-Promotion

Affiliates are not permitted to use their own affiliate links for purchases or sign-ups that directly benefit themselves. This includes, but is not limited to, the use of affiliate links:

  • To generate commissions from personal purchases.
  • For subscriptions or accounts created by the affiliate for their own use or under false identities.

Violations of this policy may result in forfeiture of commissions and/or termination of your affiliate account.

8. Confidentiality

Affiliate agrees to maintain the confidentiality of any proprietary information provided by the Company and not to disclose such information to any third party without the Company's prior written consent.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles.

10. Miscellaneous

  • Independent Contractor: Affiliate is an independent contractor and not an employee or agent of the Company.
  • Amendments: The Company reserves the right to modify the terms of this Agreement at any time. Affiliates will be notified of any changes, and continued participation in the Program constitutes acceptance of the revised terms.
  • Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral.
  • Acceptance of Policies: By participating in the Program, Affiliate agrees to comply with the Company's Terms of Service and Privacy Policy.

By participating in the Techanisms LLC Affiliate Program, the Affiliate acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
